Terms and Conditions

1. Agreement to Terms

By purchasing products or services from Basic Engineering Sp. z o.o. ("Basic"), you, the Partner, agree to be bound by the following terms and conditions. These terms govern all sales, services, and transactions between Basic and the Partner and supersede any prior agreements, representations, or communications.

2. Product Warranty

Basic provides a limited hardware warranty of 2 years from the date of invoice for all products sold. This warranty covers manufacturing defects only. The Partner must notify Basic of any defects within 14 days of discovery. Basic's liability under this warranty is limited to, at Basic's discretion, the repair or replacement of the defective product. This warranty does not cover damages arising from misuse, unauthorized modifications, improper installation, or natural wear and tear.

3. Limitation of Liability

Basic shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, arising out of or in connection with any product, service, or agreement with the Partner. In all cases, Basic's total liability for any claim arising from any transaction shall not exceed the amount paid by the Partner for the specific product or service giving rise to the claim.

4. Product Usage and Compliance

The Partner is solely responsible for ensuring that all products purchased from Basic are used in compliance with all applicable laws, regulations, and standards within their jurisdiction. Basic does not warrant that its products are compliant with the specific legal requirements of the Partner's location or industry.

Basic is not liable for consumers or marketers who knowingly or unknowingly used prohibited and/or illegal functions in their country. The Partner assumes sole liability for the use of authorized/legal functions in their country.

5. Intellectual Property

All intellectual property rights related to Basic’s products, software, and documentation, including but not limited to patents, trademarks, copyrights, and trade secrets, remain the exclusive property of Basic. The Partner is granted a non-exclusive, non-transferable license to use the products solely for their intended business purposes. The Partner shall not, without prior written consent from Basic, reverse engineer, decompile, or otherwise attempt to derive the source code of any Basic product.

6. Confidentiality

The Partner agrees to maintain the confidentiality of all non-public information received from Basic, including technical data, pricing, and strategic information. Such information shall not be disclosed to any third party without Basic's prior written consent.

7. Indemnification

The Partner agrees to indemnify, defend, and hold harmless Basic, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, damages, losses, and expenses, including legal fees, arising out of or related to the Partner's use of Basic’s products or any breach of these terms.

8. Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of Poland. Any disputes arising under or in connection with these terms shall be resolved exclusively by the courts located in Poland.

9. Force Majeure

Basic shall not be liable for any failure to perform its obligations due to causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, supply chain disruptions, or governmental actions.

10. Amendments

Basic reserves the right to amend these terms and conditions at any time. Any amendments will become effective upon being posted on Basic’s website or communicated to the Partner. Continued use of Basic’s products or services constitutes acceptance of the revised terms.

11. Termination

Basic reserves the right to terminate any agreement with the Partner at its discretion, with or without cause, upon notice. Upon termination, the Partner must cease all use of Basic’s products, return all confidential information, and settle any outstanding obligations immediately.

12. Warranty and Service

Basic undertakes to deliver products free from defects. However, Basic reserves the right to charge for repairs under certain conditions, including but not limited to damage caused by misuse, accidents, natural wear and tear, or unauthorized modifications.

The Partner is responsible for securely packaging the product and bearing all costs associated with shipping, taxes, and incidental charges when returning products for warranty service.

Defective hardware under warranty will be repaired or replaced at no additional charge, subject to the terms outlined.

13. Software and Hardware Compatibility

Basic guarantees that the software and hardware provided will be compatible with the vehicle models listed in the product documentation. However, Basic does not assume liability for any issues arising from attempts to use the products with incompatible vehicles or software.

The Partner must use Basic hardware and software responsibly, ensuring they have adequate knowledge of vehicle programming (coding) before use. The use of certain application functions may override factory settings and disrupt the operation of key vehicle systems, including safety systems.

14. Security and Data Protection

Basic will take all necessary and reasonable measures to ensure that customer data is handled securely and in compliance with our privacy policy. Personal data will not be disclosed to any third party without adequate controls in place.

In the event of account termination by the customer, Basic will delete all personal data, subject to delays due to server backups and legal requirements.

15. Disclaimer and Risks

Basic does not recommend using application functions without the requisite knowledge of vehicle programming (coding). The use of certain functions may void vehicle warranties, cause damage, or pose risks to health and safety. The Partner assumes all liability for any such outcomes.

Basic does not guarantee uninterrupted service and reserves the right to change or remove features, prices, and functions at any time without prior notice.
