1.1 These Terms and Conditions (“Terms”) govern all transactions between Basic Engineering Sp. z.o.o. (“Basic”) and its customers (the “Partner”).
1.2 By purchasing products or services from Basic, the Partner confirms that it is a registered business entity and agrees to these Terms. These Terms supersede any prior agreements, representations, or communications and form the entire agreement between the parties.
1.3 These Terms must be read in conjunction with Basic’s Returns Policy and Privacy Policy, which are incorporated by reference. The Partner agrees to comply with these policies as part of their contractual obligations.

3.1 Basic shall not be liable for indirect, incidental, or consequential damages, including but not limited to:
3.2 Basic’s total liability for any claim arising under these Terms shall not exceed the amount paid by the Partner for the specific product or service giving rise to the claim.
4.1 The Partner is solely responsible for ensuring compliance with applicable laws and regulations in their jurisdiction when using Basic’s products.
4.2 Basic assumes no liability for prohibited or illegal uses of its products by the Partner or third parties.
5.1 All intellectual property rights related to Basic’s products, software, and documentation remain the exclusive property of Basic.
5.2 The Partner is granted a limited, non-transferable license to use Basic’s products solely for their intended business purposes.
5.3 The Partner agrees not to reverse engineer, decompile, modify, or distribute Basic’s intellectual property without prior written consent.
6.1 The Partner agrees to maintain the confidentiality of all non-public information received from Basic, including technical data, pricing, and business strategies.
6.2 Confidential information shall not be disclosed to any third party without Basic's prior written consent.
7.1 The Partner agrees to indemnify and hold harmless Basic, its affiliates, and employees from claims, damages, and expenses arising from:
8.1 These Terms are governed by Polish law.
8.2 Disputes shall be resolved exclusively by the courts of Warsaw, Poland.
9.1 Basic shall not be liable for failure to perform its obligations due to causes beyond its reasonable control, including but not limited to acts of God, labor disputes, or supply chain disruptions.
10.1 Returns must comply with Basic’s Returns Policy, available on its website.
10.2 The Partner must follow the outlined returns process, including waiting for return authorization and shipping instructions. Unauthorized returns may be refused.
11.1 Basic guarantees that its products are compatible with vehicles listed in the official compatibility documentation.
11.2 Basic is not liable for damages arising from attempts to use its products with unsupported vehicles or systems.
11.3 The Partner must have sufficient knowledge of vehicle programming before using Basic’s products.
12.1 Basic’s handling of personal and business data is governed by its Privacy Policy, available at www.basicobd.com/privacy.
12.2 By entering into an agreement with Basic, the Partner consents to the collection, use, and sharing of their data as outlined in the Privacy Policy.
12.3 In the event of account termination, data will be handled in accordance with Basic’s Privacy Policy and applicable legal requirements.
13.1 The use of Basic’s software may void vehicle warranties or disrupt vehicle systems, including safety systems.
13.2 Basic does not recommend using its products without adequate knowledge of vehicle programming.
13.3 The Partner assumes all risks associated with using Basic’s products and agrees to hold Basic harmless from related claims.
14.1 Basic reserves the right to amend these Terms at any time. Amendments will take effect upon publication on Basic’s website or notification to the Partner. Continued use of Basic’s products constitutes acceptance of the revised Terms.
15.1 Basic may terminate its agreement with the Partner with notice.
15.2 Upon termination, the Partner must cease all use of Basic’s products and return confidential information.
